Robert O Rough Productions (“we”, “us”, “our”). By booking our services you agree to these Terms.

1) Scope & Quotes

  • Our written quote/proposal defines scope, deliverables, dates, shoot/edit days, and any add-ons.

  • Changes requested after approval may affect timelines and price; we will confirm variations in writing before proceeding.

  • For video projects, day rates cover capture time only; editing is quoted separately per package or edit days.

2) Rates & What’s Included

  • Core day rates (London, 2025): Half-day (up to 4h) £450; Full-day (up to 8h) £750. Hourly (if essential; 2h min) £175/h.

  • Included on shoot days: pre-shoot call & run-of-show planning; pro camera & lenses; on-site sound for video as needed; media management & secure backup.

  • Photography deliverables: basic colour/exposure edit (mix of hero + candid) to web-ready & hi-res JPEG; private online gallery with download.

  • Optional photo retouching: advanced retouch £15/image; extra basic-edit batch (~100 images) £150.

  • Typical turnaround: photos 3–5 business days (rush +10–15%).

  • Video editing: edit day from £425/day (2 drafts + 1 final included); or duration-based packages (e.g., 15–60s, 90–120s, 3–5 min recap) with simple titles, light colour, clean audio, and 2 revision rounds.

  • Delivery formats: Photos (sRGB web + full-res JPEG). Video MP4 (H.264/H.265) in 16:9 / 1:1 / 9:16. Asset links provided; archive retained 6 months.

3) Usage & Licensing

  • Included (photography): client’s own organic channels (website, social, email), internal comms, pitch decks.

  • Extended licence required: paid ads, OOH/billboards, third-party resale/syndication, large-scale print (guideline uplift typically +15–50% of the shoot fee depending on scope/duration/territory).

  • Videography: usage typically covered by the project fee unless third-party distribution/broadcast requires additional licensing.

4) Revisions & Feedback

  • Photography: one style-tweak batch (global colour/contrast) on the basic edit; extras £50/h.

  • Video: two revision rounds included; extras £75/h or £150 per additional round.

  • Please provide consolidated feedback within 2 business days of delivery to maintain schedules.

5) Raw Footage (Optional)

  • Camera-original files as-shot (no stabilisation/grade/relink/rename) can be provided for +120% of total project value (shoot days + any booked edit packages). Delivery via client-supplied drive or transfer; large-data transfer/drive costs billed at cost.

6) Travel, Overtime & Crew

  • Reasonable central-London travel included; outside central London billed at cost (and time if extensive).

  • Overtime beyond booked hours charged at £175/h (min 1h).

  • Assistants/second camera quoted as needed.

7) Booking, Payment & Cancellations

  • Booking fee: 35% to secure dates.

  • Balance: due on delivery (photos) or upon first-cut delivery (video), unless otherwise agreed.

  • Payment terms: 14 days from invoice date.

  • Cancellations/postponements: <7 days: 35% fee; <48h: 100% of booked time + direct costs.

8) Retainers (If Applicable)

  • Term: minimum 3 months, rolling monthly thereafter.

  • Billing (in advance): invoice on the 25th of the prior month (or on signature if mid-cycle); due on the 1st. Services are scheduled once payment is received. Pro-rata applies for mid-month starts.

  • Inclusions & perks: shoot time + edit outputs per tier, planning/strategy calls, library upkeep, priority booking window. Retainers typically include a discount vs one-off bookings.

  • Flex & rollover: switch allocation between photo/video with 7 days’ notice; rollover up to 10–20% of unused hours for 30 days (per agreed tier).

  • Rush on retainers: +25–50% depending on deadline.

9) Client Responsibilities

  • Provide a single point of contact; briefs/assets 3+ business days before the shoot; ensure on-camera staff availability; supply timely consolidated feedback (within 2 business days).

  • Obtain permissions, access, health & safety compliance, and releases unless otherwise agreed.

10) Delivery Model & SLAs

  • Rolling delivery: assets are sent as soon as ready.

  • Staggered delivery: pre-scheduled slots for predictable internal approvals.

  • Typical SLAs: photos 3–5 business days; video first cuts 5–10 business days (scope-dependent). Rush options available.

11) Late Payment (UK Statutory)

  • Unless otherwise agreed in writing, invoices are due within 14 days. If any invoice remains unpaid after the due date, we may charge statutory interest at 8% above the Bank of England base rate from the day after the due date until payment, plus the fixed late-payment compensation per invoice (£40 for debts up to £999.99; £70 for £1,000–£9,999.99; £100 for £10,000+), and any reasonable additional recovery costs where they exceed that fixed sum. We may pause work, withhold delivery/usage rights, and reschedule dates until cleared funds are received. You are responsible for all bank/transfer fees.

12) Weather, Illness & Force Majeure

  • If severe weather, illness, transport disruption, or events beyond either party’s control prevent the shoot, both parties will use reasonable efforts to reschedule at the earliest availability. Unrecoverable third-party costs may still be chargeable.

13) Portfolio Use & Confidentiality

  • We may display final work (and reasonable behind-the-scenes) in our portfolio, website, and social channels unless you inform us in writing before the shoot that the project is confidential/embargoed; we will then follow the agreed publicity plan.

14) Data, Storage & Privacy

  • Download links are provided; we retain an archive for 6 months (this is not a guaranteed backup—please store assets safely).

  • We process client data solely to deliver the project and as described in our Privacy Notice.

15) Liability & Insurance

  • We carry standard public liability for professional shoots. Our total liability (contract, tort, or otherwise) is limited to the total fees paid for the specific project, except for liability that cannot be limited by law. We are not liable for indirect or consequential loss, loss of profit, or reputational harm.

16) VAT / Taxes

  • We are not VAT-registered; no VAT is charged.

17) Governing Law

  • These Terms are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction.

18) Intellectual Property & Licence Trigger

  • Copyright in all footage, photography, edits, graphics, and other deliverables remains with Robert O Rough Productions. Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable licence to use the Deliverables strictly within the agreed scope (channels, territory, duration, media) set out in the Quote/Proposal. Any use outside scope requires a separate licence and may attract additional fees.

19) Client Materials Warranty & Indemnity

  • The Client warrants it holds all necessary rights, permissions, and consents for any materials supplied to us (including music, logos, footage, scripts, trademarks, images, fonts, and likenesses). The Client will indemnify and hold us harmless against any claims, damages, liabilities, costs, and expenses arising from use of such materials on the Client’s instruction.

20) Third-Party Rights, Releases & Permissions

  • Unless agreed in writing, the Client is responsible for securing talent/model releases and property/location permissions. We can arrange these on request; associated costs are billable. The Client is responsible for briefing talent and ensuring access to locations at the agreed times.

21) Music, Fonts & Stock Licensing

  • Music, sound effects, fonts, and stock assets (video/photo/graphics) will be licensed for the agreed end use and deliverables only. Extended or alternative uses (e.g., broadcast, paid ads, global use, derivative edits) may require upgraded licences at the Client’s cost.

22) Editorial Approval & Acceptance Window

  • Deliverables are deemed accepted unless consolidated revision notes are provided within 5 business days of delivery. Post-acceptance changes are new work at the then-current rates.

23) Reshoot / No-Show / Scope Constraints

  • Reshoots required due to circumstances outside our control (e.g., talent no-show, location issues, H&S closures, weather when not booked as weather-contingent, or Client script/brief changes on the day) are billable at the prevailing rates plus costs. Reshoots due to our technical fault are at our cost.

24) Kill Fee (Cancellation After Start)

  • If the project is cancelled after production or editing has begun, a kill fee applies: all time/costs incurred to date plus 50% of the remaining booked time for the current phase.

25) Subcontractors & Assistants

  • We may engage vetted subcontractors/assistants (camera, sound, DIT, MUA, etc.) while remaining responsible for overall quality control and delivery.

26) Equipment Damage & Location Rules

  • The Client is responsible for costs arising from damage to our equipment caused by the Client’s staff, guests, or vendors. The Client agrees to comply with venue rules and all health & safety directions.

27) Drone / Aerial Operations (if applicable)

  • Aerial work is subject to CAA regulations, weather, daylight, airspace permissions, and safety assessment. Where permissions are required, scheduling is contingent on approvals and may affect timelines/costs.

28) Safety, Welfare & Working Conditions

  • The Client will provide reasonable welfare facilities, breaks, and safe working conditions. Where minors are present, the Client confirms appropriate supervision and permissions per applicable guidance.

29) Confidentiality & Embargo

  • We will keep non-public information confidential and observe any agreed embargo dates. This does not restrict our usual portfolio use unless a written embargo/confidentiality notice is agreed before the shoot.

30) AI, Retouching & Training Use

  • The Client will not use the Deliverables to train generative AI models without our written consent. We will not perform misleading manipulations (e.g., deceptive editorial changes) without clear disclosure, and such use is at the Client’s responsibility.

31) Colour, Sound & Platform Variance

  • Colours, contrast, compression, and loudness may vary between devices, browsers, platforms, and social media encoders. We optimise for typical platform specs, but exact parity cannot be guaranteed.

32) Archiving & Retrieval Fee

  • We archive project files for 6 months from delivery. Retrieval after this window, if available, may incur a retrieval/admin fee. Long-term storage can be arranged as a paid service.

33) Expenses & Approvals

  • Reasonable project expenses (travel, parking, courier, studio/permit fees, props, set build, specialist kit, catering) are billable at cost. We will seek Client approval for any single expense over £150 before incurring.

34) Currency & Transfer Fees

  • Invoices are issued in GBP. Bank/transfer/FX fees are borne by the Client; please select “sender pays all fees” where applicable.

35) Dispute Escalation (Pre-Action)

  • If a dispute arises, senior representatives will meet within 10 business days to attempt resolution in good faith before proceedings.

36) Non-Solicitation (optional)

  • For 12 months from the project end date, the Client agrees not to directly hire or solicit our crew/contractors introduced through this project for similar services without our written consent.

37) Severability & Entire Agreement

  • If any provision of these Terms is found invalid, the remaining provisions remain effective. These Terms together with the Quote/Proposal form the entire agreement and supersede prior discussions.
